A non-refundable deposit of 50% of the total project cost is required upfront before any work begins.
This deposit secures your project in our schedule and confirms your commitment.
Final Payment
The remaining 50% of the total project cost is due upon completion of the website design and before the site goes live.
Once the final payment is received, the website will be launched and fully functional.
Non-Payment
If the final payment is not received within 14 days of the completion date, the website will remain offline, and all work will be paused until payment is made.
If the website has already gone live and the final payment remains unpaid after 7 days, the website will be taken down until the outstanding balance is paid in full.
Ownership of the website remains with me until full payment is received and transfer is requested.
Late Fees
Late payments are subject to fees as outlined by Hnry. These fees can vary and will be added to the outstanding balance if payment is not received by the due date.
Updates and Maintenance
Routine updates and maintenance, including minor content updates, are included in the initial cost for the first year.
Significant changes or additional features beyond the scope of the original agreement may incur extra costs after agreement.
If ownership is transferred, the client will be responsible for their own updates and maintenance.
By agreeing to work with us, you accept these payment terms.
Ownership and Management
Website Management:
We will manage and host the website for the first year as part of the initial cost.
This includes routine updates, maintenance, and any necessary support to keep the website running smoothly.
Renewal and Continued Management:
If you wish to continue with my management services after the first year, an annual renewal fee will apply.
This fee covers continued hosting, updates, maintenance, and support.
Ownership Transfer:
If you decide not to renew the management services after the first year, ownership of the website content can be transferred to you.
You will be responsible for setting up your own hosting and any future maintenance or updates.
Once ownership is transferred, I will have no control or liability over the website or its use.
Termination:
If you choose to manage the website independently at any time, please notify me in writing.
We will provide all necessary files and information for you to take over, but we will no longer be responsible for any maintenance, updates, or support unless otherwise agreed.
If we terminate the agreement, any unused portion of the deposit may be refunded, subject to deductions for work completed.
If the project is canceled by the client after work has commenced, the initial deposit (up to 50% progress) will not be refunded.
If the project is canceled by the client after full payment (over 50% progress) no refunds will be available.
By working together, you agree to these terms regarding the management and ownership of your website.
Other Terms of Service
Client Responsibilities:
The client is responsible for providing all necessary content, images, and feedback within the agreed timeframe. Delays in providing these materials may affect the project timeline and result in a delay in completing the website and third-party subscription fees.
If ownership is transferred, the client will also be responsible for managing their own hosting and future updates.
Intellectual Property Rights:
The website is owned and hosted by Alienweb.co.nz for the first year as part of the initial agreement.
If you wish to take full ownership of the website after the first year or at any point, you must notify me in writing.
Upon transfer of ownership, you will be responsible for hosting, maintenance, and any future changes or updates to the site.
Once ownership is transferred, we will have no control or liability over the website or its use.
Confidentiality:
Both parties agree to maintain confidentiality regarding any sensitive information shared during the project.
Confidential information will not be disclosed to any third party without prior consent from the other party.
Limitation of Liability:
The developer shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the website, including but not limited to loss of business, revenue, or profits.
Force Majeure:
Neither party shall be liable for any failure or delay in performing their obligations due to circumstances beyond their control, including but not limited to natural disasters, pandemics, or government actions.
Governing Law:
These terms and conditions are governed by the laws of New Zealand.
Any disputes arising from these terms shall be resolved in accordance with New Zealand law and under the jurisdiction of New Zealand courts.
Acceptance of Terms:
By engaging in my services, the client acknowledges and agrees to these Terms of Service.
These terms are subject to change, and any updates will be communicated to the client in writing.
